These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Virtual Security Africa Ltd ("VSA," "we," "us," or "our"), a company registered under the laws of the Republic of Ghana, with its principal office at Nana Adepa Plaza, 1st Floor, 52 Blohum Road, Dzorwulu, Accra - Ghana.
By accessing or using our website at virtualsecurityafrica.com, purchasing products, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must discontinue use of our website and services immediately.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.

The specific scope, deliverables, timelines, and pricing for any engagement will be detailed in a separate quotation, purchase order, or service agreement between you and VSA.
We make every effort to ensure that product descriptions, specifications, images, and pricing on our website and in our catalogues are accurate. However, we do not warrant that product descriptions or other content is error-free, complete, or current. Product images are for illustrative purposes only and may differ from the actual product in colour, appearance, or packaging.
Orders may be placed through our website, by email, by phone, or through your designated VSA account manager. All orders are subject to acceptance by VSA and to product availability. We reserve the right to refuse or cancel any order at our discretion, including orders where pricing errors have occurred.
An order is considered confirmed only upon issuance of a written order confirmation or proforma invoice by VSA. Automated email acknowledgements of order receipt do not constitute acceptance of your order.
Delivery timelines are estimates only and are not guaranteed. VSA shall not be liable for any loss or damage arising from delays in delivery caused by factors beyond our reasonable control, including but not limited to customs clearance, shipping disruptions, supplier delays, or force majeure events. Risk in the goods passes to you upon delivery.
Products may be returned within fourteen (14) days of delivery, provided they are unused, in their original packaging, and accompanied by a valid receipt or proof of purchase. Custom-configured or special-order products are non-returnable unless defective. Restocking fees of up to 15% may apply. Please contact our sales team to initiate a return.
All prices quoted on our website and in our quotations are in Ghana Cedis (GH₵) unless otherwise stated. Prices for international orders may be quoted in United States Dollars (USD) or other agreed currencies. Prices are exclusive of applicable taxes, duties, shipping, and installation charges unless expressly stated otherwise.
We accept payment by bank transfer, mobile money (MTN MoMo, Vodafone Cash, AirtelTigo Money), cheque, credit card, and other methods as may be agreed in writing. All payments must be made in the currency specified on the invoice.
For product orders, full payment or an agreed deposit is required before dispatch unless credit terms have been formally agreed. For installation and service projects, a deposit of 50% is typically required upon order confirmation, with the balance due upon completion. Credit facilities, where approved, are subject to a separate credit agreement and are payable within thirty (30) days of the invoice date.
Overdue invoices shall attract interest at the rate of 2.5% per month (or the maximum rate permitted by Ghanaian law, whichever is lower) calculated from the due date until the date of actual payment. VSA reserves the right to suspend services, withhold deliveries, or engage debt recovery proceedings for persistent non-payment. The Customer shall be liable for all reasonable costs of collection, including legal fees.
Products sold by VSA carry the manufacturer's standard warranty, the terms and duration of which vary by product and manufacturer. Typical warranty periods range from twelve (12) to thirty-six (36) months from the date of purchase. Full warranty details are provided with each product or are available upon request.
Where VSA performs installation services, we warrant that the installation will be carried out in a professional and workmanlike manner in accordance with applicable industry standards. Installation workmanship is warranted for a period of twelve (12) months from the date of commissioning. This warranty does not cover defects caused by modifications made by third parties, improper use, environmental factors, or normal wear and tear.
Warranties shall not apply where damage or malfunction results from: misuse, abuse, or neglect; unauthorised modification or repair by third parties; power surges, lightning strikes, or other electrical anomalies; operation outside specified environmental parameters; or failure to follow product documentation and recommended maintenance schedules.
Except for the express warranties stated above, all products and services are provided "as is" and "as available." To the maximum extent permitted by Ghanaian law, VSA disclaims all other warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by the laws of the Republic of Ghana:
All content on the VSA website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design and arrangement thereof, is the property of Virtual Security Africa Ltd or its content suppliers and is protected by Ghanaian and international copyright, trademark, and other intellectual property laws.
The Virtual Security Africa name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Virtual Security Africa Ltd. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on our website are the trademarks of their respective owners.
You are granted a limited, non-exclusive, non-transferable licence to access and use the website for personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our website without our prior written consent, except as incidental to normal web browsing.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. Any legal actions, suits, or proceedings arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Ghana, situated in Accra.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party shall provide written notice to the other describing the nature of the dispute and the requested relief.
If the dispute is not resolved through negotiation within thirty (30) days of the written notice, the parties agree to submit the dispute to mediation under the rules of the Ghana Alternative Dispute Resolution Centre (GADRC) in Accra. Each party shall bear its own costs of mediation, and the cost of the mediator shall be shared equally.
If mediation does not resolve the dispute within sixty (60) days, either party may commence arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana. The arbitration shall be conducted in Accra in the English language, and the decision of the arbitrator shall be final and binding on both parties. Nothing in this clause shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights.
